Update the template to an Existing Magneto Online Store

We currently have a Mangeto commerce store already operating, but are looking to give it an update in terms of the template being used as the one we currently have is not very modern and does not take advantage of the latest e-commerce features.
Because we are already an operating store, it is very *very* important to us to:
1.) For you to create a development site where we can see and test the new template *prior* to going live. You will have to base it on our current site, as it already contains all product information and some of the category structure.
We need to be able to see and test that everything is working correctly on a Development version prior to pushing it live.
Please note - *We* will provide the template extension, you do not need to create a fully customized template for us.
However as part of this project we will require:
- We will need to see that the new template works (again a dev. site).
- See how it deals with certain extensions we have.
- Configure and make some Minor Customization's to the template to make it match our brand image more (colors, placement of CMS blocks etc).
- Configure that all basic functionality is there - Ie. checkout, newsletter sign up, ability to create customer accounts, product search.
After everything is tested on the dev. site, it of course needs to get transferred to our live site.
We would need access to the Development site and admin panel in the dev. site as well to make some changes to the content if necessary.
