This project is a problem question which is based on the follwing case study. You have been approached for some advice by Michael Davis who is a web-designer. Michael currently operates as a sole trader from his home. He has acquired a good reputation in the business and has been asked whether he would like to join a company, Get Noticed Ltd (the “Company”), which provides web design services for corporate clients. The Company currently has 4 executive directors who each own 25% of the shares. The issued share capital of the Company is currently £400 divided into 400 ordinary shares of £1 each. The Company has adopted the Model Articles unamended as its constitution. Michael has been offered the opportunity to become an executive director and to subscribe in cash for 50 shares at par value. Michael is very interested in this opportunity but he has never been involved in a company before and he would like your advice on the following: Question 1 What rights and responsibilities would Michael have as an executive director and as a holder of ordinary shares? Question 2 How are decisions taken by both directors and shareholders? What procedures must be followed and how much influence will Michael have himself when voting as both a director and shareholder? Work out what is the best solution to the problem or best argument for your assignment. Explain why you have chosen that solution or argument. Communication and Literacy. The ability to: Use language appropriate to the task and the audience. Present information or argument clearly, concisely and comprehensively. Understand and use legal terminology correctly. Use correct grammar, punctuation and spelling. Research and Organisation. The ability to: Adopt a logical and structured approach to: (a) the information gathering process, and (b) the use of information compiled as a result of this process. Identify relevant primary sources and eminent academic authority relevant to the topic. Apply these sources and authorities appropriately to the topic area. Underpin argument by reference to appropriate authorities. These might be statute, case law, commentary in articles or books, or socio-legal research relevant to thetopic area. the project is a business law projecr and it should be of a minimum of 1000 words.
